Introductory Provisions
These Conditions (hereinafter only the " Conditions ") define the conditions for using the internet pages - investment portal operated by Patria Online, a.s. and publicly accessible on the internet homepage address http://www.patria.cz (hereinafter only the " Patria Online Website ").
We ask all first-time visitors to the Patria Online Website (hereinafter only the " Users ") who have not done so yet to read these Conditions.
The provider and operator of the Patria Online Website is Patria Online, a.s. (hereinafter only " Patria Online "), which together with Patria Finance, a.s. and Patria Corporate Finance, a.s. belongs to the Patria Group entrepreneurial grouping. Patria Online is a stock company whose sole shareholder is ČSOB, a.s. a duly licensed securities trader. The Patria Online Website is intended for persons who are interested in Czech and world financial markets.
Patria Online emphasises in this respect that the contents of the Patria Online Website are not intended for use by and/or communications to the public or for distribution to any person whose registered office is in or who lives in or is a resident of any country in which such use would be against the law or would be subject to a permit of a relevant authority or other authorised entity or subject to compliance with any other conditions whatsoever.
Copyright and Trademarks
Any other use of the Patria Online Website or any part thereof is prohibited for other than personal needs or the needs of the company or an employer who allows the User to use its technical equipment in connection with performing the employee’s work duties. Furthermore, any interference with the technical execution or content and character of the Patria Online Website is prohibited. Use for purposes that are not personal is an unauthorised interference with Patria Online’s rights and can also be unauthorised interference with the rights of subjects whose data, works and information are made accessible and distributed through the Patria Online Website. In addition, it is prohibited to connect the contents of the Patria Online Website to other copyrighted works and databases. All these restrictions also apply to all databases and all works which are accessible on the Patria Online Website. The information, data and articles provided may be displayed by the User on a computer monitor, PDA type equipment, or on a mobile telephone, individual pages may be printed on paper, pages may be stored electronically (which does not apply in the case of a server or other equipment connected to a computer network), only for personal use. Content of the Patria Online Website
The content of the Patria Online Website is divided into three major sections, namely ‘Freely accessible pages’, ‘Pages accessible after free registration’ and ‘Paid contents’.
Freely accessible pages - most of the Patria Online Website contents, particularly news and data from the areas of financial markets and economy.
Pages accessible after free registration - registration allows the following freely accessible services to be used: setting up a portfolio of Czech titles, setting up a portfolio of foreign titles, My Patria - setting of one’s own page, detailed information from the Prague Stock Exchange, receiving abbreviated comments by e-mail, receiving overviews, receiving closing prices and press monitoring.
Paid content - accessible under the Patria Plus tab after full registration and payment (see Paid Services)
Patria Online reserves the right to change the content and extent of these sections without prior notice.
The entire content of the Patria Online Website is intended for information only. The contents of the Patria Online Website have been acquired from sources which Patria Online considers as reliable; the actual source is always stated.
The contents of the Patria Online Website are updated and amended on an ongoing basis. The information, data, analyses, opinions or other communications published on the Patria Online Website must always be interpreted within the context of the conditions under which they have been prepared and the time of their first publication on the Patria Online Website.
Patria Online does not make any investment, legal, tax of economic recommendations through the Patria Online Website.
No information, services, data, communication or advertisements published on the Patria Online Website have the character of an offering, investment or other recommendation or other conduct on the part of Patria Online. Registration and Deregistration
When registering for both the paid and unpaid services, the User must enter correct and full information. The User is responsible for entering the electronic contact (e-mail address) within the framework of registration and for the fact that it has the right to use this electronic contact for receiving electronic mail.
Registration applies to one existing specific User. Users who are legal entities may, when registering for the paid services, allow other Users access through the legal entity’s Identification No. (IČ) and through its specific password. In the process of registration, the User chooses username and password.
A User who has registered for any of the services provided or offered on the Patria Online Website can cancel the registration on the Personal Profile page.
Paid Services
Some sections of the Patria Online Website are accessible only to Users who have paid the relevant fee. After successful registration and payment of the fee, Users have access to all services which are summarily called Patria Plus. The paid section includes detailed and up-to-date information from financial markets, online prices and rates, original analyses, forecasts, economic indicators and financial results of companies, databases of time series, mobile services and consultations with experts, tools for managing available cash (Treasury), etc.
Price of the services : The price is shown on the pages of the registration process for paid services. The price of a multi-licence (see below) is determined by arrangement according to the service parameter setting.
Clients who invest through Patria Direct and who are interested in the Patria Plus services, qualify for a 50% discount.
The paid services are provided in partial periods, which is one calendar year. Providing services in partial periods is considered as partial delivery by the Value Added Tax Act. The date when the taxable delivery takes place has been determined by agreement as the first calendar day of the partial period.
The paid services are sold on a licence basis, when one unique User of the service requires one licence. For bulk use of the paid section within a single institution or corporation, a multi-licence can be purchased, which is linked to a single unique IP address. Services available under a multi-licence are restricted, adapted for use by an anonymous User connected from a single IP address.
Patria Online will inform clients of any changes in the paid service prices in advance by electronic mail sent to user-specified electronic contacts (e-mail addresses). For Users registered for the 14-day free trial, the service is provided free of charge. Users can register for the free trial only once.
For a single flat fee, the User acquires access to all defined paid services. Patria Online can restrict for the client the frequency of using certain services. The User is informed of the restriction of the frequency of using certain services in the process of registering for the paid services.
Registration for paid services on a free trial basis expires automatically at the end of the trial period, otherwise at the end of the registration period of one year.
Special Information for Investors
Rates, prices, yields, appreciations, performances or other parameters achieved by individual investment instruments in the past can never serve as an indicator or guarantee of future rates, prices, yields, appreciations, performances or other parameters of such or similar investment instruments.
Each investment is always associated with the risk of fluctuating values, and return on the investment is not guaranteed.
Investment services provided by a securities broker cannot be regarded as either a form or an equivalent of collective investment, bank deposit, superannuation fund or insurance.
Rates, prices, yields, appreciations, performances or other parameters mentioned on the Patria Online Website may change, i.e. rise or fall.
Investment instruments denominated in foreign currencies are also exposed to fluctuations caused by changes in exchange rates which may have both positive and negative impacts on their rates, prices, yields, appreciations, performances or other parameters associated with them in other currencies, or other parameters.
When making any comparison on the Patria Online Website, irrespective of whether they are offered investment services, investment instruments or the entities who offer the investment service(s), it must be realised that part of them are facts which were available to Patria Online at the time they were prepared and which may have a substantial impact on the outcome of the comparison.
Whenever the Securities Commission, other domestic or foreign administrative authority or institution supervising the financial market is mentioned on the Patria Online Website, this cannot be interpreted to mean that these institutions (or any one of them) guarantee yields from any of the investment services or a return on investments or that these institutions recommend such investments.
Patria Online recommends to all investors that they consult their investment plans with specialised advisors before making any commitments.
Disclaimer of Liabilities and Guaranties
Users use the Patria Online Website at their own risk. Patria Online does not guarantee that the content of the Patria Online Website is correct, complete and up-to-date. Patria Online disclaims liability for any direct or indirect damage suffered as a consequence of being connected to or using the Patria Online Website or for damage suffered as a consequence of the website being partially or fully dysfunctional.
Patria Online does not guarantee the ability to connect to and error-free functioning of the Patria Online Website, and disclaims liability for any direct or indirect damage suffered as a consequence of the User not being able to connect to the website and/or not being able to use its contents.
In the event that the Patria Online Website is dysfunctional for technical reasons, the User can obtain the required information by contacting Patria Online by standard means of communication.
Patria Online is not responsible for the truthfulness, content or form of third parties’ advertisements on the Patria Online Website.
Special Information for Legal Entities
If a legal entity wishes to register as a User of a particular service, this can be done only through an entity who is, in accordance with the legal entity’s internal regulations, authorised to do so.
Handling Data and Information of Registered Users
As part of the registration process, Users who register for free services provide their first name, surname and electronic mail contact (e-mail address). As part of the registration process, Users of paid services provide their first name, surname and electronic mail contact (e-mail address), mobile telephone number, Birth Registration Number or Company Identification No. (IČO) and Tax Identification No. (DIČ) (if a legal entity) and address (hereinafter only ‘Data’). Patria Online has the right to save the Data provided by the User.
If, in the course of using the Patria Online Website the User provides Patria Online with the Data, Patria Online will not process these Data for any other purpose except that implied by the character of the provided service and beyond the framework defined in these Conditions, in particular, it will not make the data available to any other person without the User’s consent, with the exception of cases defined by these Conditions or by legal regulations, or with the User’s express consent.
When the User browses through the Patria Online Website, no Data provided previously by the User are activated, searched for or used.
When the User browses the Patria Online Website, the User’s movements through the Patria Online Website are monitored and the domain name/server/IP of the User’s computer is identified.
If the User browses the Patria Online Website section which is accessible only after registration and entering the username and password (hereinafter only ‘Registered Access’), the Data provided by the User are used to identify the services used.
In the case of Registered Access, Patria Online has the right to use the Data provided by the User in this connection in the following manner:
a) for use by marketing companies within the Patria Group and for sending commercial messages within this Group;
b) for identifying the services used, especially sending the news ordered and for setting up a My Patria personal page.
Patria Online or other companies within the Patria Group may send the User specified e-mail address commercial messages intended as support of Patria Group products and services. If the commercial message is sent by one of the securities brokers from within the Patria Group, and if it involves unsolicited direct addressing of the User through a telecommunications facility, these messages are sent exclusively on weekdays between 8 a.m. and 7 p.m. The User has the opportunity, when receiving any such message, to withdraw its consent to further sending of commercial messages by cancelling the registration.
Patria Online has the right to contact Users who have registered for a particular service, in order to verify whether the Data provided are correct and/or up-to-date. Data for which there is a justifiable doubt about its correctness will be blocked and, unless it is possible to correct or verify them, or if such correction or verification would be disproportionately expensive or difficult, they will be deleted.
Upon the termination of registration, the acquired personal Data will be deleted, unless retaining such Data is required by law. Physical persons providing Data of a personal character enjoy all the rights stipulated in Act No. 101/2000, especially the right to information according to Section 21 of this Act.
Electronic Communications
Information in messages sent by electronic mail (e-mail) is not encoded. For this reason, we recommend that Users do not send by e-mail any information which they consider to be personal or confidential, or which is protected in accordance with legal regulations, or the non-disclosure of which they desire.
Validity and Effectiveness
Unless expressly set forth otherwise, these Conditions become valid and effective upon their first publication on the Patria Online Website.
