KBC reacts to allegations concerning IPB’s takeover by KBC’s subsidiary CSOB
The KBC Bank & Insurance Group violently objects against the allegations made by Czech political spokesmen that the KBC subsidiary CSOB committed bank robbery and that the KBC Bank & Insurance Group itself contributed to the collapse of the small Czech Banka Haná.
CSOB, together with the competent national authorities, was trying to achieve the only reasonable solution that would be in the interest of the more than 3 million customers of IPB and favour a more stable financial situation in the Czech Republic. KBC supported this move, although it was that its own rating might be downgraded by the rating agencies because they believe KBC is putting too much energy and effort into stabilizing and improving the Czech financial landscape.
As far as the history of Banka Haná is concerned, the true facts are as follows.
KBC took a minority participation of 9.9% in Banka Haná in 1995 and increased its stake to 19.9% by participating in several capital increases. Meanwhile, IPB managed to gain control over Banka Haná through a non-transparent network of related companies without informing the other shareholders or the Czech National Bank, and without launching a public offer for the shares held by KBC and the other small shareholders. Hence, minority shareholders are now stuck with a package of illiquid shares in Banka Haná.
Meanwhile, IPB transferred most of the assets and liabilities of Banka Haná to other subsidiaries. Accordingly, owing to the unethical behaviour of IPB, KBC and the other minority shareholders have suffered substantial losses.
Notwithstanding several attempts by the Czech National Bank, the issue is still unresolved. Furthermore, it is unclear at present who the real owner of Banka Haná is.
KBC is also extremely offended by the unfair statement made to the effect that six of its executives are facing criminal charges. The fact is that four years ago, the judicial authorities started an inquiry into possible tax evasion by KBC customers. It goes without saying that KBC’s management would also be subject to investigation, but up until now they have not been placed under suspicion.
With regard to the crux of the matter, KBC reiterates that it has always strictly observed the relevant directives imposed by the Belgian authorities.

KBC Bank reaguje na prohlášení ohledně převzetí IPB dceřinou společností KBC ČSOB. KBC Bank&Insurance důrazně protestuje proti výrokům českých politických mluvčích, že její dceřiná společnost ČSOB provedla bankovní loupež a že sama KBC Bank&Insurance přispěla k pádu malé české Banky Haná.
ČSOB ve spolupráci s kompetentními státními orgány hledala jediné rozumné řešení v zájmu více než tří miliónů klientů IPB, ve prospěch stabilnější finanční situace v české republice. KBC Bank podporovala toto úsilí, i když si byla vědoma možného snížení svého vlastního ratingu ratingovými agenturami z důvodů jejich přesvědčení, že KBC bank věnuje příliš mnoho energie a úsilí na stabilizaci a zlepšení českého finančního prostředí.
Pokud jde o historii Banky Haná pravá fakta jsou následující. KBC Bank získala menšinový podíl 9,9 % v bance Haná v roce 1995 a navýšila svůj podíl na 19,9% účastí v několikerém navyšování kapitálu. Mezitím se IPB podařilo získat kontrolu nad Bankou Haná prostřednictvím netransparentních sítí spojených společností aniž by informovala ostatní akcionáře či ČNB, a aniž by provedla veřejný odkup akcií v držení KBC a jiných malých akcionářů, proto nyní zůstaly menšinovým akcionářům nelikvidní akcie Banky Haná.
Mezitím IPB převedla většinu aktiv a pasiv banky Haná na jiné dceřiné společnosti. Vzhledem k neetickému chování IPB utrpěli KBC a jiní menšinoví akcionáři podstatné ztráty.
Přes opakované pokusy ČNB tato záležitost stále není vyřešena. Navíc je v současnosti nejasné, kdo je skutečným majitelem Banky Haná.
KBC je velmi dotčena nespravedlivými výroky, že šest představitelů KBC v Belgii čelí trestnímu stíhání. Pravdou je, že před čtyřmi lety orgány činné v trestním řízení zahájily vyšetřování možných daňových úniků klientů KBC Bank. Je samozřejmé, že vedení KBC by mohlo být také předmětem vyšetřování, ale do současné doby nebyla vyslovena žádná podezření.
S ohledem na podstatu záležitosti KBC zdůrazňuje, že vždy přísně dbala příslušných ustanovení belgických orgánů.
